Terms of Service

These terms govern the use of the Inboxli website and the services provided by Inboxli LLC, 30n Gould St, Sheridan, WY 21801, USA. By using the site or engaging us, you accept them.

Services

We provide retention consulting for e-commerce brands: email marketing strategy and execution, loyalty program design and setup, customer journey mapping, audits and reporting. The exact scope, deliverables, timeline and price for each engagement are set out in a separate written proposal or order confirmation, which takes precedence over these terms where they differ.

Quotes, audits and calculators

Figures shown on this site, including the ROI calculator and the quiz results, are estimates based on the inputs you provide and industry benchmarks. They are illustrative, not a promise of results. Every business is different and outcomes depend on your product, market, list quality and execution.

Fees and payment

Retainers are invoiced monthly in advance unless agreed otherwise. One-off projects are invoiced according to the milestones in the proposal. Invoices are payable within 15 days. Late payment may pause work until the balance is settled. Prices are exclusive of any applicable taxes.

Term and cancellation

There is no long-term lock-in. Either side may end a retainer with 30 days written notice, effective at the end of the notice period. Work already delivered and the current billing period remain payable. On termination we hand over the flows, templates and documentation created for you.

Your responsibilities

  • Provide timely access to the accounts, data and materials the work requires.
  • Ensure you have the right to use any content, list or customer data you share with us.
  • Comply with applicable marketing and privacy law, including consent for the contacts you email.
  • Review and approve deliverables before they go live where the proposal requires it.

Intellectual property

Once the related invoice is paid, the copy, designs and flow configurations created specifically for you are yours to use. We keep ownership of our internal frameworks, templates, checklists and tooling, and may reuse them with other clients. We may reference the engagement and anonymised results in our portfolio unless you ask us in writing not to.

Confidentiality

Each side keeps the other's non-public information confidential and uses it only for the engagement. This survives the end of the engagement.

Third-party tools

Delivery may involve third-party platforms such as email service providers, loyalty apps and analytics tools. Their fees, terms and availability are their own, and we are not responsible for their outages, policy changes or pricing.

Limitation of liability

To the extent permitted by law, our total liability arising out of an engagement is limited to the fees you paid us in the three months before the claim. We are not liable for indirect or consequential loss, including lost profit or revenue.

Governing law

These terms are governed by the laws of the State of Wyoming, USA, and any dispute will be handled by the competent courts there, unless a separate agreement states otherwise.

Changes

We may update these terms; the date at the top of the page shows the current version. Changes do not affect an engagement already in progress without written agreement.
